This Statement of Work (this “SOW”) is entered into and governed by the Master Subscription Agreement, Subscription Terms, or other similar written agreement (the “Agreement”), along with the General Service Terms located at https://www.harness.io/legal/general-service-terms (the “General Terms”) by and between Customer (“Customer”), and Harness Inc. (“Harness”) (Customer and Harness each a “Party”, and collectively, the “Parties”). This SOW and the General Terms constitute the complete agreement regarding services provided under this SOW. Except where the contrary is expressly provided, the terms and conditions of the General Terms shall prevail over any conflicting terms or conditions in this SOW.
Changes to this SOW will be processed in accordance with the procedure described below. The investigation and the implementation of changes may result in modifications to the schedule, resources, charges and/or other terms of this SOW.
Harness may utilize an employee or subcontractor (a “Partner”) to provide the Services under this SOW. Harness shall remain liable or all acts and omissions of its personnel in their provision of the Services set forth in this SOW.
Any defined terms not specifically defined herein shall have the meaning given to them in the General Terms.
1. PROJECT OVERVIEW
The purpose of this Education SOW is to provide Services designed to assist Customer in educating/training users in the applicable Harness software module(s), as defined in the Training Appendix.
Prerequisites
- Agreement upon the syllabus(es) which are defined per Harness software module.
- Harness leverages internal and external software providers to deliver training. Connectivity to these providers is required for training to be effective and hands-on.
- Required: Instruqt: Cloud Shell Provider. Connectivity to *.instruqt.com over ports 80/443 and WebSockets.
- Required: Harness: SaaS Platform. Connectivity to *.harness.io over ports 80/443.
- Optional: Google Suite: Slideware is delivered through Google Presentations.
Scheduling and Consumption
- Customer and Harness will establish a mutually agreed upon schedule for the education services. Customers opting for in-person training must be scheduled fourteen (14) days in advance, unless mutually agreed to.
- Customer will identify a point-of-contact who will coordinate training on the customer side.
- Customer will identify individuals to receive training and communicate a roster to Harness at least one (1) business day before training.
- Upon mutual agreement, Customer may convert unused seats to an additional Instructor-Led Trainings in buckets of twelve (12) seats at a time.
- Training purchased and not utilized within twelve (12) months will be forfeited.
